1. Applicability
1.1. This Terms and Conditions apply to all registration contracts between Barge Spedition SRL, a Romanian company with limited liability, with headquarters in Braila, Romania, 55 Galati Ave. Bl. B Sc. 1 Ap. 13, zip 810143, and the person that registers, called “client”. The Terms and Conditions refer to all legal aspects between Barge Spedition and its clients, and to the use of www.bargespedition.com website. Accessing, reading, or visiting the website you agree that you have read, understood and agreed with Terms and Conditions. A client is a person or a company represented by a person. All persons invested to represent companies on the site understand to be called “clients” in Terms and Conditions.
1.2. Through www.bargespedition.com website, Barge Spedition SRL offers an electronic platform that forms a market for the shippers, barge owners and brokers who can, in this way, exchange important information about inland waterways transport.
2. Registering
2.1. Filling in and submitting the registering form to Barge Spedition, the client expresses the wish to close a registration contract with Barge Spedition. This contract is considered to be valid after Barge Spedition agrees regarding the registration of the client. Barge Spedition reserves the right to refuse closing the contract with any person, on the reason that this person (or company) is not actively involved in naval transport activities, doesn’t have a valid VAT number. or Barge Spedition suspects that the person may harm the interests of the website or it’s clients.
2.2. The client guarantees that the information given through the registration form as well as any kind of information sent to Barge Spedition or to it’s clients are correct. Registering, the client agrees that his name (or the name of the company) will be published in the list of registered clients.
2.3. Barge Spedition reserves the right to change the content of it’s website or the Terms and Conditions section. Barge Spedition will advice its clients of any change by e-mail. If the client does not submit a written note by e-mail regarding the changes, within 14 days from receiving the notification from Barge Spedition, it’s considered that the changes are accepted by the client. Barge Spedition reserves the right to terminate the registering contract with a client that doesn’t agree with the changes.
2.4. The term of the registration contract is indefinite. The client may terminate the contract at any moment, at one-month notice, with the condition of fulfilling the obligations in the registration contract.
2.5. Barge Spedition is entitled to terminate the contract with immediate effect if:
- The client misuses the website or does not comply with the Terms and Conditions;
- A petition for a suspension on payments or a bankruptcy petition has been filed against the client;
- The client has not participated in a website activity more than three months.
2.6. Barge Spedition reserves the right to transfer its contract rights to third party or to let a third party fulfill its contract obligations. The client does not have the right to transfer his contract rights or obligations without written approval from Barge Spedition.
2.7. The client has the responsibility of keeping the password secret. The client does not have the right to supply the password to third party. The client is responsible regarding his activity on www.bargespedition.com.
2.8. After registration, the clients may subscribe to one of the modules Information, Barge Owner, Cargo Owner, and Complex. Subscribing to any of this modulus is free until a certain moment, not earlier than September 2008, which will be announced by Barge Spedition. From that moment on, for each of the modulus, a monthly fee will be paid. Subscription period is for a minimum of 3 months and starts with the first day of the future month. The usufruct period of the modulus is automatically extended with the initially selected period (3, 6,9,12 months), if not halted meantime. Stopping the automatic subscription is possible with a written notification by email with 7 days before the expiration date of the initial term. Barge Spedition will confirm activation on the specified modulus and ending of the period via email.
2.9. Barge Spedition will make everything within its powers for the good function of the market. Nevertheless, a guarantee can not be offered referring to the good function of the site. Barge Spedition is not obliged to fulfill any of the obligations in case of force majeure as internet disconnection, flaming, spamming, hacking, or breaking of electrical system, etc.
3. Responsibility
3.1. All information contained, distributed through links, unloaded or accessed on the site are disposed without any obligations. Some information on the site come from third parties. Responsibility for this information is the obligation of those third parties. Barge Spedition will not, under any chance, be responsible for errors that might appear in site’s information.
3.2. Barge Spedition does not offer guarantees regarding the quality of products, services or materials presented, obtained as a result of an advertisement or of information from site.
3.3. Barge Spedition is not involved in any transaction between customers. In case of any dispute between clients, the last ones will not implicate Barge Spedition under no circumstances.
3.4. At all events, Barge Spedition’s financial responsibility will be amounted at maximum the sum paid by the client who claims damages, in the last three months before the appearance of the event that caused denunciation.
4. Charge/Tariffs
The use of any modulus of the site is free of charge until at least the beginning of September 2008. Barge Spedition is entitled to modify those terms, by announcing its customers and to introduce monthly fees for each and every modulus after the ending of the promotional period.
4.1. After registration, clients can choose for one of the four different modulus:
- Information: all possible information on site are displayed, but without the possibility of introducing information about barges or freight into site’s system.
- Barge owner: Information subscription plus the possibility to introduce information about available barges into site’s system.
- Cargo owner: Information subscription plus the possibility to introduce information about available freight into site’s system.
- Complex: Information subscription plus the possibility to introduce information about both the available freight and barges into site’s system.
4.2. For contracts between its clients, Barge Spedition does not collect any fee.
5. Intellectual property
Rights over www.bargespedition.com site and its content, including text, graphic software, belong to Barge Spedition SRL. Not one part of the site can be published, reproduced or modified nowise (in any way) without the prior written agreement of the Barge Spedition SRL. This site can not be bounded by links to other sites or/and internet pages without the prior written agreement of the Barge Spedition SRL.
5.1. www.bargespedition.com site contains data base. Extraction, copy, transcription or use of our data bases in commercial purposes is strictly forbidden without the prior written agreement of Barge Spedition SRL.
5.2. Barge Spedition name and logo are registered marks of Barge Spedition SRL.
6. Applicable laws
6.1. The registration contract, Terms and Conditions are in conformity with Romanian laws. In case of eventual misunderstandings between the translated version and the Romanian version of those up-mentioned (The registration contract, Terms and Conditions), the second version is valid.
6.2. Judiciary Court valid in case of legal disputes is the Romanian one.
7. Security
Barge Spedition gathers and stores information regarding its clients and any visitor of the site, in order to decide regarding closure of the registration contract. Also, Barge Spedition monitors users’ behavior regarding information read on the site and forms they complete. Barge Spedition has the right to use IP addresses to help identify users.
Barge Spedition will make all necessary efforts to keep confidential all information about the client, others than the ones made public on the site in conformity with Terms and Conditions.
Barge Spedition has taken measures against loosing, alteration or destruction of information posted by clients.
